Contract Documents & Templates

1. Standard B2B model

• Commercial Proposal / offer: describes scope and commercial terms; unless expressly binding, it is non-binding and subject to confirmation.
• Client instruction/order referring to the Commercial Proposal constitutes the Client’s offer.
• NEXORA Order Confirmation in text form, in particular email, accepts the Client’s offer and concludes the contract on the identified contractual basis.
• KYC/onboarding/compliance: operational performance starts after required checks/documents.
• Advance payment: where agreed, operational performance starts only after receipt of the due advance.

2. Order of precedence

• 1. individually negotiated agreement or project contract;
• 2. NEXORA Order Confirmation;
• 3. NEXORA Commercial Proposal / offer;
• 4. effectively incorporated NEXORA GTC.

3. GTC

For standard B2B engagements, NEXORA GTC v2026.09 provided before contract conclusion and identified in the Order Confirmation apply. The German version is governing; English/Ukrainian versions are for understanding. German version: https://nexora-consulting.at/de/agb. A mere post-contract reference does not replace effective incorporation.

4. Separate project / consultancy agreement

Used where appropriate due to scope, duration, risk profile or individually negotiated special terms, e.g. long-term retainers, complex regulated mandates, bespoke liability/IP terms, success fees or extensive data/subcontractor structures.

5. NDA

A unilateral or mutual NDA may be used. Scope, duration, exclusions, permitted disclosure and return/deletion obligations are project-specific. A contractual penalty applies only where expressly and effectively agreed.

6. DPA / AVV

An Article 28(3) GDPR agreement is entered into before processing where NEXORA acts as processor on behalf of and under documented instructions from the Client. Mere access to personal data does not automatically make NEXORA a processor.

7. Powers of attorney / representation

Where representation before third parties/public authorities is part of the engagement, required powers of attorney are documented separately. NEXORA acts only in substantive connection with the specific management-consulting mandate and within its entitlement, in particular § 136 GewO 1994. Reserved activities of other regulated professions remain unaffected.

8. Languages / requests
