Договірні документи та шаблони

1. Standard B2B model

• Commercial Proposal / offer: scope + commercial terms; unless expressly binding, non-binding and subject to confirmation.
• Client instruction/order referencing Proposal = Client offer.
• NEXORA Order Confirmation in text form, especially email, accepts and concludes contract on identified documents.
• KYC/onboarding/compliance before operational performance.
• Advance payment before operational performance where agreed.

2. Ієрархія

• 1. individually negotiated agreement/project contract;
• 2. NEXORA Order Confirmation;
• 3. NEXORA Commercial Proposal / offer;
• 4. effectively incorporated AGB/GTC.

3. AGB/GTC

Для standard B2B mandates застосовуються NEXORA AGB/GTC v2026.09, provided before contract conclusion and identified in Order Confirmation. DE version is governing; EN/UA are convenience translations. DE: https://nexora-consulting.at/de/agb. Post-contract reference alone не замінює effective incorporation.

4. Separate Project / Consultancy Agreement

Використовується, якщо це доцільно через scope, duration, risk profile або individually negotiated special terms, наприклад long-term retainers, complex regulated mandates, bespoke liability/IP terms, success fees або extensive data/subcontractor structures.

5. NDA

Unilateral/mutual NDA може використовуватися; scope, duration, exclusions, permitted disclosure, return/deletion project-specific. Contractual penalty — лише якщо expressly/effectively agreed.

6. DPA / AVV

Art. 28(3) DPA укладається до processing, якщо NEXORA є processor за documented instructions Client. Mere access to personal data не робить NEXORA processor.

7. Powers of attorney / representation

Якщо є representation before third parties/authorities, powers of attorney оформлюються окремо. NEXORA діє лише у substantive connection with specific management-consulting mandate and within entitlement, зокрема § 136 GewO 1994. Reserved activities інших regulated professions unaffected.
