The formation of a GmbH in Vienna is legally clearly structured – in practice, however, international founders often fail due to forms, deadlines and queries from the authorities. The commercial register, trade authority and tax office do not work in parallel, but sequentially – every error delays the Commercial Register Entry Duration or the VAT number Austria by weeks. This guide shows step by step which bodies are involved, which documents are required and what typical queries foreign founders in Vienna 2026 must expect – including realistic schedules and practical advice. Typical obstacles: incomplete documentation, unclear UBO structures in holdings, lack of coordination between notary and tax advisor, and unrealistic expectations of processing times. NEXORA accompanies you through the entire official process: from the preparation of documents ready for decision-making to the coordination of all stakeholders and a structured timeline – so that your Commercial Register Application, Trade Registration Vienna and VAT application run smoothly without delays.
Introduction
The formation of a GmbH in Austria follows clearly defined legal structures. In practice, however, it is evident that international founders often fail due to operational challenges: incomplete documents, lack of coordination between authorities and unrealistic time expectations. Commercial register, trade authority and tax office work sequentially – not in parallel. Any delay or query extends the
the Commercial Register Entry Duration or the allocation of the VAT Number Austria by several weeks.
This guide structures the entire official process from notarial certification to tax registration. We show which documents are required, what typical queries international founders must expect and where systematic preparation saves time and costs.
Overview: Which authorities are involved in the company formation?
Commercial Register Court
The Commercial Register Court carries out the registration of corporations and assigns the company register number (FN). Without this registration, there is no legally capable GmbH. The examination includes company, registered office, business purpose, capital structure and power of representation in accordance with the Austrian Commercial Code (UGB) and the Limited Liability Companies Act (GmbHG).
Trade Authority (Magistrate / District Authority) & GISA
Every commercial activity is subject to registration with the competent trade authority. Registration takes place in the Austrian Business Information System (GISA). The type of trade – free or regulated – determines the scope of the examination and the processing time.
Austrian Tax Office / FinanzOnline
The tax office assigns the tax number and – depending on the entrepreneurial constellation – the VAT Number Austria (ATU). The tax registration takes place via the questionnaire for tax registration (Verf 15).
Process sequence for a "GmbH gründen Wien" constellation
- Articles of Association, notarial certification, Commercial Register Application
- After registration: Trade Registration Vienna (for commercial activities)
- Tax registration + Apply for VAT ID Austria (if not automatically assigned)
Commercial Register Entry: Process, Duration, Documents
The Commercial Register as a central register
The Commercial Register is a public register of all registered companies maintained by regional courts. It documents the company, registered office, business purpose, management, power of representation, share capital and shareholder structure. Without registration, the company can neither conclude contracts nor open bank accounts.
Process of Commercial Register Entry
1. Preparation of the documents
The necessary documents include:
- Articles of Association / Incorporation Deed (notarially certified)
- Certified specimen signature(s) of the managing directors
- Proof of payment of the share capital (bank confirmation)
- Declarations of consent from the shareholders (if required)
- Company name confirmation from the WKO
2. Notarial certification and application to the commercial register
The notary prepares the electronic application to the commercial register and submits all documents to the competent commercial register court (usually electronically via WebERV). The quality of this submission is a key factor in determining the processing speed.
3. Examination by the court
The Commercial Register Court checks the completeness and legality of all information: admissibility of the company, proper capital raising, power of representation and compliance with mandatory provisions of the Austrian Commercial Code (UGB) and the Limited Liability Companies Act (GmbHG).
4. Registration and publication
After a positive examination, registration takes place with the assignment of an FN. The registration is published in the Ediktsdatei. From this point on, the GmbH is legally capable and can participate in legal transactions.
Commercial Register Entry Duration: Realistic Timetable 2026
If the documents are complete and correctly prepared, the Commercial Register Entry Duration is typically one to three weeks after receipt by the court. Delays arise in practice due to:
- Incomplete or incorrect documents
- Unclear UBO structures for international shareholders
- Queries regarding the business address or the object of the company
- Necessary improvement orders
Trade registration in Vienna: Free and regulated trades
When is a trade license required?
Most independent economic activities in Austria are subject to the Trade Regulation Act. Exceptions exist for liberal professions (e.g. lawyers, doctors) and agricultural and forestry activities.
For commercial activities – such as consulting, trade, IT services or FinTech services – a Trade License Austria is required. Registration takes place with the competent trade authority, in Vienna typically with the Magistratisches Bezirksamt or via the Unternehmensserviceportal (USP).
Free vs. regulated trade
Free trade
No proof of competence is required for free trades (e.g. management consulting restricted, IT services). The trade license is created upon receipt of the complete documents – the activity can be exercised from this point in time.
Regulated trade
Regulated trades (e.g. master builder, real estate agent, crafts) require proof of competence. The authority checks the professional qualification; the granting of the trade license can take several days to weeks.
VAT ID Austria: Automatic assignment or application
When is the VAT ID automatically assigned?
Entrepreneurs who provide VAT taxable services receive a value added tax identification number (VAT ID, format: ATU12345678) from the tax office. For many new foundations, the tax office automatically assigns the VAT ID as part of the initial tax registration – especially if EU business or input tax deduction is to be expected from the outset.
Apply for VAT ID Austria: Procedure in case of missing automatic assignment
In certain constellations – for example, for small businesses or if there is uncertainty about the entrepreneurial activity – the VAT ID must be actively applied for:
- Form U15 (application for the granting of a VAT ID) via FinanzOnline
- Justification of the necessity (e.g. planned business with EU companies, reverse charge procedure)
- Processing time: typically two to four weeks, as the tax office checks whether an entrepreneurial activity actually exists
Process & schedule at a glance
| Step | Authority | Typical duration | Dependencies |
|---|---|---|---|
| Articles of Association & Notary | Notary / Founder | 1–5 working days | – |
| Commercial Register Application & Entry | Commercial Register Court | approx. 1–3 weeks | Complete documents |
| Trade Registration Vienna | Magistrate / GISA | Free: from receipt; Regulated: Days–Weeks | Commercial register data |
| Tax registration / VAT ID | Austrian Tax Office | VAT ID: approx. 2–4 weeks | Tax number, questionnaire |
All times are practical guidelines and are not guaranteed deadlines. Deviations are possible depending on the individual case and the workload of the authorities.
Typical mistakes of international founders
In our consulting practice for international founders, recurring challenges emerge that lead to significant delays:
Incorrect process sequence
Bank accounts and contracts are planned before commercial register, trade license and VAT ID are clearly clarified. In such cases, banks block the account opening or require extensive proof.
Incomplete documentation
Missing specimen signatures, proof of capital or proof of competence lead to improvement orders from the court or the trade authority and extend the process by weeks.
Unclear UBO structure
Nested holding structures without clear documentation of the beneficial owners trigger queries from the notary, court and bank. This not only delays the commercial register entry, but also the subsequent account opening.
Missing local substance
A pure mailbox address without a real operational presence makes it considerably more difficult to open an account and can trigger additional inquiries from the tax office and trade authority.
These errors have direct economic consequences: Delays of 4–8 weeks are not uncommon, associated with additional costs for rework, lost investor confidence and delayed business deals.
How NEXORA structures the official process
NEXORA Unternehmensberatung GmbH accompanies international founders through the entire official process – from the choice of structure to the Commercial Register Application to trade license and VAT ID.
Coordination of stakeholders
We coordinate the articles of association, tax structure and trade license so that the commercial register, trade registration and tax office receive consistent information. This end-to-end view prevents contradictions and significantly reduces queries.
Document preparation and UBO clarity
We create complete checklists for all required documents, prepare the UBO structure transparently and coordinate the business model with FinTech and RegTech requirements. Documents ready for decision-making accelerate the entire process.
Time savings through structured preparation
Cleanly prepared applications reduce improvement orders from the Commercial Register Court, additional requirements from the Trade Authority and queries from the Tax Office. In practice, this shortens the effective foundation period by two to four weeks – while at the same time reducing the effort for founders and external consultants.
